PROVIDER TERMS OF PARTICIPATION 

GESHER COMMUNITY CARE 

 

IMPORTANT NOTICE 

GESHER COMMUNITY CARE (“GCC”) DOES NOT PROVIDE EMERGENCY SERVICES. PROVIDERS MUST DIRECT ANY CLIENT EXPERIENCING A MEDICAL OR PSYCHIATRIC EMERGENCY TO CALL 911 OR APPROPRIATE EMERGENCY SERVICES IMMEDIATELY. 

 

1. Introduction 

Gesher Campus Care, Inc., d/b/a Gesher Community Care (“GCC”), operates a referral network through which qualified healthcare providers (“Providers”) may be connected with individuals seeking mental health or related services (“Participants”). 

 

By participating in GCC’s referral network and related programming, the undersigned Provider agrees to these Terms of Participation (the “Terms”), which govern Provider’s inclusion in GCC’s network and engagement with Participants referred through GCC. 

 

2. Nature of GCC Services and Provider Relationship 

a. No Clinical Oversight or Medical Direction 

Provider acknowledges and agrees that GCC is not a licensed healthcare provider and does not provide clinical services, supervision, or direction. GCC does not engage in the practice of medicine, psychology, or any licensed profession. 

 

Provider is solely responsible for all clinical decisions, treatment planning, and services provided to Participants. 

 

b. Independent Contractor Status 

Provider is an independent professional and is not an employee, agent, partner, or representative of GCC. 

 

GCC does not:

● Employ Providers 

● Control clinical work 

● Supervise or evaluate clinical care 

 

No joint venture, partnership, or employment relationship is created by participation in GCC. 

 

c. No Guarantee of Referrals or Volume 

Provider acknowledges that: 

● GCC does not guarantee referrals 

● GCC does not guarantee any minimum number of Participants

● GCC does not guarantee continuity of referrals 

 

Participation in GCC’s network does not create any entitlement to referrals or ongoing inclusion. 

 

d. No Endorsement 

GCC does not endorse or recommend specific Providers. Any listing or referral through GCC is not a representation of provider quality, outcomes, or suitability. 

 

3. Provider Responsibilities 

 

a. Licensure and Credentials 

Provider represents and warrants that they: 

● Hold all required licenses, certifications, and credentials in good standing ● Will maintain such credentials throughout participation 

● Will comply with all applicable federal, state, and local laws and regulations Provider agrees to promptly notify GCC of: 

● License suspension, restriction, or revocation 

● Disciplinary actions or investigations 

● Material changes in professional status 

 

b. Accuracy of Information

Provider agrees that all information submitted to GCC, including: 

● Credentials 

● Areas of expertise 

● Insurance participation 

● Availability is true, accurate, and current. 

Provider is responsible for updating GCC promptly if any information changes. GCC is not responsible for verifying or monitoring Provider information.

 

c. Clinical Responsibility 

Provider is solely responsible for: 

● Establishing and maintaining the provider-patient relationship

● Obtaining informed consent 

● Maintaining appropriate documentation 

● Ensuring ethical and competent care 

GCC is not a party to any provider-patient relationship. 

d. Compliance with Ethical Standards 

Provider agrees to adhere to applicable professional ethical codes (e.g., APA, NASW, ACA) and all relevant standards of care. 

 

4. Financial Responsibility 

 

a. Billing and Payment 

Provider is solely responsible for: 

● Setting fees 

● Billing Participants 

● Managing insurance claims 

● Collecting payments 

 

GCC does not:

● Set fees 

● Process payments 

● Verify insurance 

● Guarantee reimbursement 

 

b. Insurance Verification 

Provider is responsible for verifying Participant insurance coverage and communicating financial obligations directly with Participants. 

 

5. Privacy and Data Use 

Provider acknowledges that: 

● GCC is not a “Covered Entity” or “Business Associate” under the Health Insurance Portability and Accountability Act (HIPAA) 

● Information shared with GCC may not constitute Protected Health Information (PHI) 

 

Provider agrees to: 

● Comply with all applicable privacy laws independently 

● Avoid sharing unnecessary protected or sensitive clinical information with GCC 

 

6. Limitation of Liability and Release 

Provider agrees that GCC shall not be liable for: 

● Clinical outcomes 

● Provider-Participant interactions 

● Any claims arising from services rendered by Provider 

 

Provider, on behalf of themselves and their representatives, releases GCC and its affiliates, officers, directors, employees, and agents from any and all claims arising out of or related to: 

● Participation in GCC’s network 

● Referrals facilitated by GCC 

● Services provided to Participants

 

7. Termination 

GCC may suspend or terminate Provider’s participation at any time, with or without notice, at its sole discretion. 

 

Provider may withdraw from participation at any time. 

Termination does not affect: 

● Existing provider-patient relationships 

● Provider’s responsibility for ongoing care 

 

8. Confidentiality of GCC Materials 

Provider agrees that any GCC materials, including: 

● Training content 

● Program frameworks 

● Internal resources are confidential and proprietary. 

 

Providers may not reproduce, distribute, or use such materials outside of GCC participation without written consent. 

 

9. Governing Law 

These Terms shall be governed by the laws of the State of New York, without regard to conflict of law principles. 

 

10. Entire Agreement 

These Terms constitute the entire agreement between Provider and GCC and supersede all prior discussions or agreements.

 

GCC may modify these Terms at any time. 

 

11. Required Training and Ongoing Education 

 

a. Initial Training Requirement 

As a condition of participation in GCC’s network, Provider agrees to complete GCC-designated training prior to receiving referrals. This training may include, but is not limited to: 

● Jewish cultural competency 

● The psychological impact of antisemitism 

● Clinical considerations relevant to identity-based trauma affecting Jewish individuals 

 

Provider acknowledges that completion of such training is a prerequisite to active participation in GCC’s referral network. 

 

b. No Clinical Control 

Provider acknowledges that GCC training is educational in nature and does not constitute clinical supervision, direction, or control over Provider’s independent professional judgment. 

 

12. Code of Conduct: Non-Discrimination and Antisemitism 

a. Commitment to Non-Discrimination 

Provider agrees to deliver services in a manner consistent with all applicable anti-discrimination laws and professional ethical obligations, including providing care without discrimination on the basis of: 

 

● Religion 

● Ethnicity 

● National origin 

● Race

● Gender, sexual orientation, or other protected characteristics 

 

b. Prohibition on Antisemitism and Identity-Based Harm 

Provider agrees that they will not engage in conduct that constitutes antisemitism or identity-based discrimination toward Jewish Participants. 

For purposes of this agreement, antisemitism includes, but is not limited to: 

 

● Denial, minimization, or distortion of Jewish identity, history, or trauma ● Application of double standards to Jewish individuals not applied to others ● Use of frameworks, language, or interventions that invalidate or pathologize Jewish identity or experiences of antisemitism 

● Expression of hostility, bias, or prejudice toward Jewish individuals, beliefs, or communal affiliations 

 

c. Clinically Appropriate Discourse 

Nothing in this section is intended to restrict legitimate, clinically appropriate exploration of a Participant’s beliefs, identity, or experiences, when conducted in a manner consistent with: 

● Professional ethical standards 

● Respect for patient autonomy 

● Evidence-based clinical practice 

 

d. Reporting and Review 

Provider acknowledges that GCC may receive and review concerns or complaints related to Provider conduct. 

 

GCC reserves the right, in its sole discretion, to: 

● Review alleged violations of this Code of Conduct 

● Request information or clarification from Provider

● Suspend or terminate Provider’s participation in the network based on such concerns 

 

e. No Adjudicative Role 

Provider acknowledges that GCC is not a licensing or regulatory body and does not make formal findings of professional misconduct. Any action taken by GCC relates solely to participation in its network. 

 

Acknowledgment 

By signing below, Provider acknowledges that they: 

● Have completed (or agree to complete) required GCC training ● Agree to adhere to the Code of Conduct outlined above 

● Understand that compliance with these provisions is a condition of participation in GCC’s network
